Terms & Conditions

These Terms & Conditions (“Terms”) govern the provision of technical financial modelling and analytical support services by Meridian Bastion Limited (“the Company”, “we”, “us”) to the client (“the Client”, “you”). By engaging our services, you agree to be bound by these Terms.
 

1. Scope of Services

1.1. The Company provides technical financial modelling, data analysis, and documentation support services as detailed in the specific Project Proposal or Engagement Letter. 1.2. No Regulatory Advice: We are a technical consultancy. We do not provide investment, legal, tax, or accounting advice. Our deliverables are technical tools and data summaries for your internal use and do not constitute a recommendation to enter into any financial transaction.
 

2. Fees and Payment

2.1. Fixed Fee Model: Unless otherwise agreed in writing, services are provided on a fixed-fee basis as quoted in the Project Proposal. 2.2. Payment Schedule: A 50% commencement fee is typically required to initiate the project, with the remaining 50% due upon delivery of the final draft. 2.3. Late Payments: We reserve the right to charge interest on overdue invoices at a rate of 3% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
 

3. Client Obligations

3.1. You agree to provide all necessary project data, assumptions, and documentation in a timely manner. 3.2. Accuracy of Information: The Company relies on the accuracy and completeness of the data provided by the Client. We do not perform an audit or independent verification of the data provided.
 

4. Revisions and Scope Creep

4.1. Standard engagements include one round of revisions to incorporate feedback or updated project assumptions, provided these fall within the original project scope. 4.2. Any material changes to the project scope or additional revision rounds will be subject to a revised fee quote.
 

5. Intellectual Property

5.1. Upon full payment of all fees, the Company grants the Client a non-exclusive, perpetual license to use the Deliverables (Excel models, PDFs, etc.) for the intended project purpose. 5.2. The Company retains ownership of any pre-existing "Background IP," including proprietary formulas, templates, and macros used to create the Deliverables.
 

6. Limitation of Liability

6.1. Technical Tool Only: Our models are mathematical simulations based on assumptions provided by you. Actual results may vary significantly. 6.2. Cap on Liability: To the maximum extent permitted by law, the Company’s total liability for any claim arising out of or in connection with the services shall be limited to the total fees paid by the Client for that specific engagement. 6.3. Consequential Loss: We shall not be liable for any indirect or consequential loss, including loss of profit, loss of revenue, or loss of anticipated savings resulting from the use of our Deliverables.
 

7. Confidentiality

7.1. Both parties agree to keep all project information and commercially sensitive data strictly confidential. 7.2. This obligation does not apply to information that is already in the public domain or required to be disclosed by law.
 

8. Termination

8.1. Either party may terminate the engagement with 7 days' written notice. 8.2. In the event of termination, the Client shall pay for all work completed up to the date of termination on a pro-rata basis.
 

9. Governing Law

9.1. These Terms and any dispute arising from them are governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts.
